IMPORTANT! These Terms of Use govern your use of your monthly website service, which is provided by bigfin.com, LLC. By using your website, you are indicating your acknowledgement and acceptance of terms of use. These terms of use are subject to change by bigfin.com, LLC, at any time at its discretion. Your use of your website after such changes are implemented constitutes your acknowledgment and acceptance of the changes. Please consult these terms of use regularly.
TERM & RENEWAL
This Agreement shall be for an initial term of one (1) month and shall constitute a binding agreement between you (the "User") and bigfin.com, LLC,("Bigfin"). This Agreement shall be automatically renewed for successive one (1) month terms until it is terminated in accordance with termination provisions herein.
CANCELLATION POLICY
Website files (the "Files") will be remain the property of Bigfin. No refunds shall be made for costs already incurred by Bigfin. All amounts owed for services rendered prior to the verified cancellation date must be paid in full. Due to account security and privacy concerns, all billing related questions and cancellation requests MUST be made via email to info@bigfin.com. Cancellation requests will only be processed if made by the initial authorizing party from an authorized email address and if received via the email address mentioned above. Cancellation requests made via telephone or fax will not be honored due to the previously mentioned account security and privacy concerns.
TERMINATION AT WILL
Either the User or Bigfin may terminate this Agreement, for any reason whatsoever, with thirty (30) days written notice to the other. Authorized users wishing to terminate this Agreement and cancel the Services should contact info@bigfin.com via email.
INTELLECTUAL PROPERTY
Bigfin and its suppliers are the exclusive owners of all right, title and interest in all website Files it creates and to all Software and Services along with any and all related Intellectual Property Rights including, without limitation, all associated rights under the laws of copyright (including derivative works), trademarks and patent. Nothing in this Agreement shall be deemed to limit or restrict Bigfin or its suppliers from providing its Files, Software, Services or technology to any third party for any purpose whatsoever, or in any way affect the rights granted to such other third parties. The use of any of the Files or Services shall in no way be construed by any User as granting or conferring upon them any Intellectual Property rights whatsoever. Furthermore, the User expressly agree not to alter or delete any copyright notices or trademarks included in any Software Files or Services.
PURCHASE OF INTELLECTUAL PROPERTY
The User has the right to purchase Files from Bigfin including, without limitation, all associated rights under the laws of copyright within the first 12 consecutive months of the Service for $500. After 12 consecutive months enrolled in the Service the User's cost for website files and all associated rights will be $0.
PROPRIETARY INFORMATION
The material, Files and Services accessible from the Bigfin website, User's Website (the "Website") and any other World Wide Web site owned, operated, licensed, or controlled by Bigfin (the "Content") is the proprietary information of Bigfin or the party that provided the Content to Bigfin, and Bigfin or the party that provided the Content to Bigfin retains all right, title, and interest in the Content. Accordingly, the Content may not be copied, distributed, republished, uploaded, posted, or transmitted in any way without the prior written consent of Bigfin, except that you may print out a copy of the Content solely for your personal use. In doing so, you may not remove or alter, or cause to be removed or altered, any copyright, trademark, trade name, service mark, or any other proprietary notice or legend appearing on any of the Content. Modification or use of the Content except as expressly provided in these Terms of Use violates Bigfin's intellectual property rights. Neither title nor intellectual property rights are transferred to you by access to this website. You are expressly prohibited, directly or indirectly through any third party, from any of the following: (i) copying, modifying, creating a derivative work of, reverse engineering, reverse assembling or otherwise attempting to discover the source code of the Software or Files; (ii) renting, leasing, selling, assigning, transferring, sublicensing, re-licensing, granting a security interest in, or gaining unauthorized access to the Software, Files or Services; and (iii) accessing the Services or Files by any means other than through the interface that is provided by Bigfin for use in accessing the Files or Services.
WEBSITES
You hereby grant to Bigfin the royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display all content, remarks, suggestions, ideas, graphics, or other information communicated to Bigfin through the website (together, the "Website"), and to incorporate any Website in other works in any form, media, or technology now known or later developed. Bigfin will not be required to treat any Website as confidential, and may use any Website in its business (including without limitation, for products or advertising) without incurring any liability for royalties or any other consideration of any kind, and will not incur any liability as a result of any similarities that may appear in future Bigfin operations, until such time as User purchases Files from Bigfin including, without limitation, all associated rights under the laws of copyright.
WEBSITE MANAGEMENT SERVICES/MONTHLY SERVICE
You acknowledge that website management monthly maintenance includes 1 hour of website changes performed per month by Bigfin at your request. You understand and further acknowledge that monthly website changes do not include adding additional website pages, banner changes, website navigation changes, logo services, graphic design services or website re-design services. All work performed by Bigfin in excess of 1 hour of website changes monthly will be charged at the hourly rate of $95.00.
PRICE CHANGES & PAYMENT POLICY
You expressly understand, acknowledge and agree with the fees being charged for the Services and hereby authorize Bigfin to automatically charge your credit card. If Bigfin is unable to process said fees to your credit card, then this Agreement shall automatically terminate and your Website and Services will be deactivated. All fees for the Services are payable in U.S. dollars. Bigfin may, in its sole and absolute discretion, adjust upward or downward the fees it charges for the Services at any time for any reason, with prior notice.
